What is a Section 8 Company?

A Section 8 Company refers to a type of non-profit organization in India, as per Section 8 of the Companies Act, 2013. It's established for promoting charitable, social, and educational purposes. It doesn’t pay dividends to its members but uses its profits to further its objectives.

 

Steps to Register a Section 8 Company

 1. Name Reservation: Choose a unique name for your organization and get it approved.

 2. Obtain DSC and DIN: Directors of the company need to obtain a Digital Signature Certificate (DSC) and Director Identification Number (DIN).

 3. Draft the MOA and AOA: Prepare the Memorandum of Association (MOA) and Articles of Association (AOA) in line with the non-profit objectives.

 4. Apply for Registration: Submit the registration application through the Ministry of Corporate Affairs (MCA) portal along with the necessary documents.

 5. Verification and Approval: The application will be reviewed by the Registrar of Companies (RoC). If all requirements are met, the registration certificate will be issued.

 6. Post-Registration Compliance: Maintain regular compliance with legal requirements, including annual filings and audits.
